These Terms of Service (“Terms”) govern your access to and use of the SecureFlowwebsite and hosted platform (together, the “Service”). By registering an account or using the Service, you agree to these Terms.

1. The Service

SecureFlow provides a hosted AI platform that helps businesses draft answers to vendor security questionnaires using documents you upload. We grant you a limited, non-exclusive, non-transferable right to use the Service subject to these Terms and your chosen plan (Free, Starter, or Custom).

Features may be added, changed, or discontinued with reasonable notice. We will not materially reduce the core functionality of a paid plan during an active billing period without providing a pro-rated refund.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

3. Accounts and security

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at contact@secureflow.tech if you suspect unauthorised access.

4. Your content

You retain ownership of all documents and data you upload. You grant us (and the subprocessors necessary to operate the Service) a limited licence to host, process, and display your content solely to provide the Service — including generating AI outputs you request. We do not use your content to train foundation AI models.

You represent that you have the rights to upload your content and that doing so does not violate third-party rights or applicable law.

5. Acceptable use

You agree not to:

Use the Service for unlawful, harmful, or deceptive purposes;
Attempt to gain unauthorised access to systems, data, or other accounts;
Reverse-engineer the Service except where applicable law permits;
Overload or disrupt the Service or other users' use of it;
Use the Service to build a competing product through systematic scraping or mirroring.

6. Plans, billing, and cancellation

Free plan:available at no charge with monthly AI row limits. We reserve the right to adjust free-tier limits with 30 days' notice.

Starter plan: billed monthly via Stripe. Your subscription renews automatically until you cancel. You may cancel at any time through the Billing page in your account — your access continues until the end of the current billing period.

Custom / Enterprise: governed by a separate order form or agreement.

Refunds are not provided for partial months except where required by law or at our sole discretion.

7. Third-party services

The Service uses third-party providers including OpenAI (AI processing) and Stripe (payments). Your use of those services is subject to their terms. We are not responsible for third-party services.

8. AI-generated output

AI outputs may be inaccurate, incomplete, or unsuitable for submission to customers or regulators. You are solely responsible for reviewing, editing, and approving any content before reliance or disclosure. See our Disclaimer.

9. Intellectual property

We and our licensors own the Service, including software, branding, and documentation, excluding your content. Feedback you provide may be used to improve the Service without obligation to you.

10. Confidentiality

Non-public information we share about our roadmap or product features may be confidential. You will not disclose it without our consent, except as required by law.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM.

13. Indemnity

You will defend and indemnify us and our affiliates against claims arising from your content, your violation of these Terms, or your misuse of the Service, except to the extent caused by our gross negligence or wilful misconduct.

14. Termination

We may suspend or terminate your access if you breach these Terms, with notice where practicable. You may stop using the Service and cancel your subscription at any time. Provisions that by their nature should survive termination will survive.

15. Governing law and venue

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. You agree that state and federal courts located in Delaware will have exclusive jurisdiction for disputes, subject to mandatory consumer protections in your jurisdiction where applicable.

16. Changes to these Terms

We may modify these Terms by posting an updated version with a new “Last updated” date. We will notify you by email or in-app notice of material changes at least 14 days before they take effect. Continued use after changes constitutes acceptance.
